ARAGO CONTROL SOFTWARE LICENCE TERMS

1. Software Licences

1.1. Arago Control: Licensor hereby grants Licensee a non-exclusive, non-sublicensable, and non-transferable license in perpetuity to use the Arago Control solely for Licensee’s internal business purposes in conjunction with the Arago Photogrammetry System. Licensee may make copies of the Arago Control solely for back-up, disaster recovery, and testing purposes; provided that any such copies of the Arago Control: (x) remain Licensor’s exclusive property; (y) are subject to the terms and conditions of this agreement; and (z) must include all copyright or other proprietary rights notices contained in the original.

1.2. Arago Control Advanced: Licensor hereby grants Licensee a non-exclusive, non-sublicensable, and non-transferable license for the duration of the Agreed upon Term to: use the Arago Control Advanced software solely for Licensee’s internal business purposes in conjunction with the Arago Photogrammetry System; Licensee may make copies of the Arago Control Advanced solely for back-up, disaster recovery, and testing purposes; provided that any such copies of the Arago Control Advanced software: (x) remain Licensor’s exclusive property; (y) are subject to the terms and conditions of this agreement; and (z) must include all copyright or other proprietary rights notices contained in the original.

2. Restrictions

2.1. Use Restrictions. Licensee shall not use the Arago Control Advanced software or Arago Control nor any Documentation for any purposes beyond the scope of the license granted in this agreement. Without limiting the foregoing and except as otherwise expressly set forth in the agreement, Licensee shall not at any time, directly or indirectly: (i) copy, modify, or create derivative works of the Arago Control Advanced software or Arago Control software; (ii) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Arago Control Advanced software or Arago Control software; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to the source code of the Arago Control Advanced software or Arago Control Software, in whole or in part; or (iv) remove any proprietary notices from the Arago Control Advanced software

3. Ownership

3.1. The Software is owned and copyrighted by Licensor. All rights not expressly granted to Licensee are reserved by Licensor.

4. Updates

4.1. Licensor may provide updates, upgrades, or enhancements to the Software (“Updates”). This EULA applies to all such Updates unless Licensor provides other terms with the Update.

5. Termination

5.1 This EULA is effective until terminated. Licensee’s rights under this EULA will terminate automatically without notice if Licensee fails to comply with any term(s) of this EULA. Upon termination, Licensee shall cease all use of the Software and destroy all copies of the Software.

6. Warranty Disclaimer

6.1. THE SOFTWARE IS PROVIDED “AS IS” AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. LICENSOR SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

7. Limitations of Liability

7.1 In no event shall Licensor be liable for any damages arising out of or in connection with the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

8. Governing Law

8.1 This EULA will be governed by and construed in accordance with the laws of the Kingdom of Denmark.
